Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AGNT website, applications, products, and services provided by AGNT Security LLC ("AGNT", "we", "us", or "our").

By using AGNT, creating an account, or purchasing a subscription, you agree to these Terms. If you do not agree with these Terms, please do not use our services.

1. About AGNT

AGNT is a personal security monitoring service designed to help users monitor their email addresses for known data breaches and other security exposures.

AGNT may provide information about detected exposures, security incidents, and recommended actions that may help users improve their security.

AGNT is currently in development. Features, functionality, monitoring methods, data sources, and availability may change over time.

2. Eligibility

You must be at least 18 years old to purchase or use paid AGNT services.

By using AGNT, you confirm that:

• you are legally able to enter into these Terms;

• the information you provide is accurate;

• you will use the service only for lawful purposes;

• you will not use AGNT to violate the rights of other people or organizations.

If you use AGNT on behalf of a company or other organization, you confirm that you have authority to accept these Terms on its behalf.

3. Your AGNT Account

Some AGNT features may require an account.

You are responsible for keeping your account information accurate and for protecting access to your account.

You should not share your account credentials with other people.

You are responsible for activity that occurs through your account unless the activity resulted from unauthorized access that was not caused by your actions or failure to protect your account.

If you believe that someone has accessed your account without permission, contact us as soon as possible.

4. Email Monitoring

AGNT allows users to add email addresses for security monitoring.

When you add an email address, you confirm that you are authorized to monitor that address.

AGNT may check the email address against available breach and security information sources.

The results may include information about known data breaches, security incidents, and categories of information that may have been exposed.

AGNT does not guarantee that every breach or exposure will be detected.

The information available to AGNT depends on external data sources and their coverage, accuracy, availability, and update schedules.

5. Security Information

AGNT provides security information for informational purposes.

A detected exposure does not necessarily mean that an account is currently compromised.

Likewise, a result showing no detected exposure does not mean that an email address, account, device, or person is completely secure.

AGNT does not guarantee protection against hacking, fraud, identity theft, malware, phishing, data breaches, or other security incidents.

Users remain responsible for taking appropriate security measures, including using strong and unique passwords, enabling multi-factor authentication where available, and reviewing suspicious activity.

6. Security Score

AGNT may provide a Security Score or other security indicators.

These scores are intended to provide a simple overview of available security information.

A Security Score is not a guarantee, certification, or professional security assessment.

The factors used to calculate a score may change as AGNT develops its products and services.

7. Recommendations

AGNT may provide recommendations based on detected security information.

These recommendations are general information and are not professional, legal, financial, cybersecurity, or identity-theft advice.

You are responsible for deciding which actions to take.

AGNT does not directly control or change accounts that belong to third-party services.

8. Subscriptions and Payments

Certain AGNT features may be available through paid subscriptions.

Before completing a purchase, you will be shown the applicable price, billing period, trial terms if applicable, and other material payment terms.

If you purchase a subscription, you authorize AGNT and its payment service provider to charge the payment method you provide for the applicable fees.

If a subscription automatically renews, the renewal terms and applicable price will be shown before you complete the purchase.

You are responsible for keeping your payment information current.

AGNT uses third-party payment processors to process payments. AGNT does not store complete payment card numbers on its own systems.

9. Free Trials and Promotional Offers

AGNT may offer free trials, introductory pricing, or other promotional offers.

If a trial or promotion is offered, the applicable terms will be shown at the time of signup.

The applicable terms may include:

• the length of the trial;

• the price after the trial;

• when the first paid charge will occur;

• whether the subscription renews automatically;

• how to cancel.

If a trial converts into a paid subscription, the user will be charged according to the terms shown at signup.

10. Cancellation

You may cancel your subscription according to the cancellation method provided by AGNT.

Cancellation will stop future recurring charges after the cancellation takes effect.

Unless otherwise stated at the time of purchase, cancellation does not automatically provide a refund for a billing period that has already been charged.

AGNT will not make cancellation intentionally difficult or require unnecessary steps to prevent a user from cancelling a subscription.

11. Refund Policy

AGNT offers a 30-day refund period for eligible purchases.

You may request a refund within 30 calendar days from the date of the original charge.

Please include the email address associated with your AGNT account and, if available, information that helps us identify the transaction.

If your refund request is approved, AGNT will issue the refund to the original payment method used for the purchase.

The time required for the refund to appear in your account may depend on your bank or payment provider.

Unless required by applicable law, a refund does not automatically cancel an active subscription. If you do not want future charges, you should also cancel the subscription.

AGNT reserves the right to deny refund requests that are fraudulent, abusive, or clearly intended to misuse the refund policy.

12. Billing Disputes

We will review billing questions and work with you to resolve legitimate billing errors.

If you do not recognize a charge, contact us as soon as possible.

13. Acceptable Use

You may use AGNT only for lawful purposes.

You may not:

• use AGNT to monitor an email address without authorization;

• attempt to access another user's account;

• interfere with the operation of AGNT;

• attempt to bypass security measures;

• use automated systems to abuse or overload the service;

• reverse engineer or attempt to extract the source code of the service;

• use AGNT to conduct illegal activity;

• use AGNT in a way that violates applicable laws or the rights of others.

We may suspend or terminate access if we reasonably believe that an account is being used in violation of these Terms.

14. Third-Party Services and Information

AGNT may rely on third-party services, databases, APIs, hosting providers, analytics providers, payment processors, and other technology providers.

Third-party information may not always be complete, accurate, current, or available.

AGNT is not responsible for the availability or accuracy of information controlled by third parties.

Third-party services may have their own terms and privacy policies.

15. Intellectual Property

AGNT and its website, software, design, branding, text, graphics, logos, and other content are owned by or licensed to AGNT Security LLC.

You may use AGNT only as permitted by these Terms.

You may not copy, reproduce, modify, distribute, sell, or create derivative works from AGNT's content or technology without our prior written permission, except where permitted by applicable law.

The AGNT name and logo are trademarks or other protected intellectual property of AGNT Security LLC where applicable.

16. Privacy

Your use of AGNT is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, and protect personal information.

Our Cookie Policy explains how cookies and similar technologies may be used on our website.

17. Service Availability

We work to keep AGNT available and reliable, but we do not guarantee that the service will always be available or operate without interruption.

The service may occasionally be unavailable because of maintenance, updates, technical problems, third-party service interruptions, security issues, or other circumstances.

We may modify, suspend, or discontinue features of AGNT as the product develops.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, AGNT is provided on an "as is" and "as available" basis.

AGNT does not guarantee that:

• all security incidents will be detected;

• all information provided will be complete or error-free;

• the service will always be available;

• the service will prevent security incidents;

• the service will protect against unauthorized access, fraud, identity theft, or other losses.

Nothing in these Terms excludes or limits rights that cannot legally be excluded or limited under applicable law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, AGNT Security LLC and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, revenue, business, or goodwill arising from or related to your use of AGNT.

To the maximum extent permitted by applicable law, the total liability of AGNT for claims arising from your use of the service will not exceed the greater of:

1. the amount you paid to AGNT for the service during the 12 months before the event giving rise to the claim; or

2. US $100.

This limitation does not apply where liability cannot legally be limited under applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless AGNT Security LLC and its officers, employees, contractors, and service providers from claims, damages, liabilities, and expenses arising from:

• your violation of these Terms;

• your unlawful use of AGNT;

• your violation of another person's rights;

• your unauthorized use of an email address or account.

21. Suspension and Termination

We may suspend or terminate your access to AGNT if:

• you materially violate these Terms;

• you use the service for unlawful purposes;

• your use creates a security risk;

• you attempt to abuse the service;

• we are required to do so by law;

• the service is discontinued.

If we terminate a paid subscription because of our decision to discontinue the service or for reasons unrelated to your violation of these Terms, we may provide an appropriate refund for unused prepaid service where applicable.

Sections that by their nature should continue after termination, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute provisions, will continue to apply.

22. Changes to These Terms

We may update these Terms from time to time.

When we make material changes, we may provide notice through the website, email, or other reasonable means.

The updated Terms will become effective on the date stated at the top of the updated Terms.

Your continued use of AGNT after the updated Terms become effective means that you accept the updated Terms, to the extent permitted by applicable law.

23. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules, except where applicable law requires otherwise.

Any dispute that cannot be resolved informally will be handled in accordance with applicable law and the jurisdiction and venue rules that apply to the parties.

Nothing in these Terms prevents a consumer from exercising rights that cannot legally be waived under the laws applicable to that consumer.

24. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any additional terms presented to you when using specific AGNT services, form the agreement between you and AGNT regarding your use of the service.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not constitute a waiver of that provision.
